BSI Master OS

1. Acceptance of Terms

By accessing or using the BSI Master OS platform at https://app.bizimagesolutionsintelligence.ai or any associated subdomains (the "Platform"), by opting into any BSI-managed SMS or email communication program, or by using any BSI client kiosk or portal, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use the Platform.

These Terms constitute a legally binding agreement between you and Windermere Design, LLC d/b/a Bizimage Solutions Intelligence ("BSI," "we," "us," or "our"). BSI reserves the right to modify these Terms at any time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

2. Description of Services

BSI Master OS is a multi-tenant business intelligence and marketing automation platform. The Platform provides BSI clients with tools for lead management, contact check-in, staff operations, automated email and SMS nurture campaigns, performance reporting, and data-driven marketing analytics. BSI provides the Platform as a service to its clients ("BSI Clients") and operates certain consumer-facing features (kiosks, opt-in pages, SMS programs) on behalf of those clients.

3. SMS Messaging Program Terms

The following terms apply specifically to BSI-managed SMS messaging programs operated under A2P 10DLC registration:

3.1 Opt-In and Consent

You may opt into a BSI SMS program by (a) submitting your mobile number through a BSI client opt-in web form, or (b) texting a designated keyword (such as JOIN, INFO, START, or SUBSCRIBE) to a BSI-managed phone number. By opting in, you expressly consent to receive recurring automated text messages from the specific BSI client associated with that campaign. Consent is not a condition of any purchase.

3.2 Message Frequency and Content

Message frequency varies by campaign. Standard enrollment sequences include up to six (6) messages delivered over approximately two weeks. Additional messages may be sent for appointment reminders, promotional offers, or service notifications. Message and data rates may apply depending on your mobile carrier plan.

3.3 Opt-Out

You may opt out of any BSI SMS program at any time by replying STOP to any message. Upon receipt of STOP, you will receive one final confirmation message and no further messages will be sent. You may re-enroll at any time by texting a keyword or submitting a new opt-in form.

3.4 Help

Reply HELP to any BSI SMS message for assistance, or contact us at [email protected]. Supported carriers include all major US carriers. BSI is not liable for delayed or undelivered messages due to carrier issues.

4. Platform Access and Accounts

4.1 BSI Client Accounts

BSI Clients who access the administrative features of the Platform are responsible for maintaining the confidentiality of their login credentials, for all activity that occurs under their account, and for ensuring their use of the Platform complies with all applicable laws including the TCPA, CAN-SPAM Act, and applicable state privacy laws.

4.2 Consumer-Facing Features

Consumers who interact with BSI client kiosks, opt-in pages, or SMS programs do so on behalf of the specific BSI Client operating that feature. BSI acts as a technology service provider and is not the primary data controller for consumer data collected through client-specific campaigns.

4.3 Prohibited Uses

You agree not to use the Platform to: violate any applicable law or regulation; transmit spam, unsolicited messages, or deceptive content; attempt to gain unauthorized access to any part of the Platform; interfere with the operation of the Platform; or collect data about other users without their consent.

5. Intellectual Property

The Platform, including its software, design, trademarks, logos, and content, is owned by Windermere Design, LLC d/b/a Bizimage Solutions Intelligence and is protected by applicable intellectual property laws. BSI grants BSI Clients a limited, non-exclusive, non-transferable license to use the Platform solely for their internal business purposes during the term of their service agreement. No other rights are granted.

Client data, including contact records, visit logs, and uploaded documents, remains the property of the respective BSI Client. BSI processes this data solely to provide the Platform services.

6. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BSI DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

BSI does not guarantee specific marketing results, lead conversion rates, or ROI outcomes. Performance data and analytics provided through the Platform are for informational purposes only.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BSI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF BSI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

BSI's total liability to you for any claim arising out of or relating to these Terms or the Platform shall not exceed the greater of (a) the amount paid by you to BSI in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

8. Indemnification

You agree to indemnify, defend, and hold harmless Windermere Design, LLC d/b/a Bizimage Solutions Intelligence and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in Harris County, Texas. You waive any right to participate in a class action lawsuit or class-wide arbitration.

10. Termination

BSI reserves the right to suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including Sections 5, 6, 7, 8, and 9.
